Welcome to Listco Properties, operating at Listco.co (the “Website”, “Platform”, “we”, “us”, or “our”). By accessing or using this website, you agree to all terms below. If you do not agree, please do not use the website.

1. Role of Listco Properties

What We Are: We are a technology platform and online listing service where users can list, browse, and communicate about properties.

What We Are NOT: We do not provide real estate services, advice, marketing services, or representation. We do not participate in transactions between users.

All transactions are between buyers and sellers directly. We simply facilitate communication and discovery.

2. SMS / Text Messaging Program

Program: Listco Properties SMS Program (formerly the Listco.co SMS Program, operated by JL Programs INC). The program allows users to search real-estate listings, list their own property, message property owners, and (optionally) receive new-listing alerts matching saved searches.

• Opt-in: By texting our SMS number, by entering your mobile number on Listco.co with the SMS opt-in checkbox selected, or by replying START/UNSTOP after a previous opt-out. Providing your phone number on Listco.co is optional and is never required to use the website.
• Message frequency: Message frequency varies based on your activity (typically 1–20 messages/week).
• Costs: Standard message and data rates may apply. Listco Properties does not charge to send/receive SMS, but your carrier may.
• Opt-out: Reply STOP, UNSUBSCRIBE, QUIT, or CANCEL at any time to stop all messages. Reply STOP-ALERT to mute new-listing alerts only.
• Help: Reply HELP, email support@listco.co, or call (845) 400-2253.
• Privacy: Your SMS opt-in data and consent will not be shared with any third party for purposes unrelated to delivering the SMS program. See our Privacy Policy.

In addition to SMS, by creating an account and providing your email address you also consent to receive transactional emails (account notifications, listing updates, messages from buyers/sellers) and, where you have opted in, marketing emails. You can manage email preferences in your account settings.

3. General Use of the Website

You agree to use the website only for lawful purposes and in a way that does not violate any applicable laws or regulations. We reserve the right to suspend, restrict, or terminate access to the website at any time, for any reason, without notice.

4. User-Generated Content & No Verification

IMPORTANT: We do NOT verify listing accuracy, user credentials, or property information.

All listings, descriptions, images, prices, availability, and any other content displayed on the website are submitted by users.

We:

• Do not verify listings or content
• Do not guarantee accuracy, completeness, or reliability
• Do not verify user credentials or identities
• Are not responsible for user-posted content
• Do not inspect properties
• Do not confirm property ownership

Users are solely responsible for the content they upload or post. We do not endorse, approve, or guarantee any listing, user, or information on the website. You must conduct your own due diligence before any transaction.

5. Photo & Image Rights

By uploading photos or images to Listco Properties, you confirm and warrant that:

• You own the rights to the photos, OR
• You have explicit permission from the copyright holder to use and display them on third-party websites
• You authorize Listco Properties to display, store, and distribute the images as part of your listing

Important for MLS Photos:

If you are uploading photos originally taken for MLS (Multiple Listing Service), please confirm with your brokerage that you have permission to use these photos on external websites. MLS photos are often owned by the photographer or brokerage, and MLS access does not automatically grant permission for third-party use.

Listco Properties is not responsible for unauthorized content uploaded by users. Users who upload content they do not have rights to may be held liable for copyright infringement and may have their accounts suspended or terminated.

6. No Responsibility for Transactions

We are not a party to any agreement, transaction, or communication between users. All transactions are peer-to-peer.

We are not responsible for:

• Payments or refunds between users
• Property condition, availability, legality, or safety
• Misrepresentation, fraud, or disputes
• Any loss, damage, or inconvenience
• Contract disputes or failed transactions
• Property title issues or legal problems

All interactions and transactions are done at your own risk. We strongly recommend:

• Meeting in person to view properties
• Verifying ownership and property details independently
• Working with licensed professionals (real estate agents, lawyers, inspectors)
• Never sending money before verifying all information

7. Fair Housing & Non-Discrimination

Listco Properties is committed to fair housing practices and prohibits discrimination.

All users must comply with the Fair Housing Act and applicable fair housing laws. Discrimination based on race, color, religion, sex, handicap, familial status, national origin, or any other protected class is strictly prohibited.

Listings or communications that violate fair housing laws will be removed, and users may be banned from the platform.

8. No Refund Policy

All payments made on the website are final.

We do not provide refunds for any reason, including but not limited to:

• Listings
• Subscriptions
• Featured or promoted listings
• Any paid services

By making a payment, you acknowledge and agree that no refunds will be issued.

9. Content Moderation

We reserve the right, but are not obligated, to:

• Remove or edit content
• Reject or delete listings
• Suspend or block users

This may be done at our sole discretion, without notice and without liability.

10. Privacy Policy

Your use of the platform is also governed by our full Privacy Policy, which is incorporated into these terms by reference. It explains what information we collect (including your name, email, phone number, account and listing information, usage data, and technical data such as IP address and browser type), how we use and share it, and your rights and choices. We do not sell personal information.

11. Disclaimer

The website is provided “as is” and “as available”.

We make no warranties, express or implied, including but not limited to:

• Accuracy of content
• Availability of the website
• Suitability for any purpose
• Error-free or uninterrupted service

Any reliance on information found on this website is entirely at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or special damages arising from:

• Use of the website
• User-generated content
• Listings or transactions
• Errors, omissions, or downtime

13. Indemnification

You agree to indemnify and hold harmless the website, its owners, affiliates, and operators from any claims, damages, losses, or expenses arising from:

• Your use of the website
• Content you post
• Violation of these terms

14. Intellectual Property

All website design, branding, logos, and original content (excluding user-generated content) are owned by the website and may not be used without permission.

Listco Properties™, Listco™, ListCo™, and Listco.co™ are trademarks or service marks of the company. Unauthorized use of the Listco name or branding is prohibited.

15. Changes to This Page

We may update these terms, policies, or disclaimers at any time. Continued use of the website after changes are posted constitutes acceptance of the updated version.

16. Governing Law

These terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

17. Platform Role & Brokerage Disclaimer

Note: Our company may be referred to as "Listco Properties", "Listco.co", "ListCo", "Listco", or "List Co" throughout this document and our platform. All such references refer to the same entity, and these terms bind all users regardless of which name appeared when they signed up.

Listco Properties is a technology platform ONLY. We are NOT a real estate broker, agent, or intermediary.

We do NOT:

• Negotiate deals or transactions
• Set pricing for properties
• Represent buyers, sellers, or agents
• Collect commissions from transactions
• Act as a licensed real estate broker or agent
• Participate in any real estate transactions

All communication, negotiations, and transactions occur directly between users. Listco Properties simply facilitates discovery and communication.

18. Listings Compliance & User Certification

For condominium, cooperative, or new development listings, you confirm that the project is:

• Approved by the New York State Attorney General, OR
• Filed under a valid CPS-1, OR
• Otherwise legally permitted to be advertised under applicable law

You acknowledge that:

• You are solely responsible for the accuracy and legal compliance of your listings
• Listco Properties is a neutral information platform and is not the sponsor, developer, broker, or agent
• Listco Properties does not verify regulatory status or participate in marketing or sales
• Users must comply with all federal, state, and local laws, including New York General Business Law §352-e and related regulations

You agree to indemnify and hold Listco Properties harmless from any claims, investigations, or damages arising from your listings.

IMPORTANT: Any listing posted in violation of applicable law is the sole responsibility of the user. Listco Properties reserves the right to remove any listing at its discretion.

19. New Development Listings - Additional Terms

New development listings may be presented PRIOR to final regulatory approval and are intended for informational purposes only.

All development listings are provided by the listing agent or developer. Users are solely responsible for ensuring compliance with all applicable laws, including Attorney General approval requirements where applicable.

We:

• Do not verify regulatory approval status
• Do not offer or sell real estate
• Do not verify project timelines or availability
• Are not responsible for project delays or cancellations

IMPORTANT: For developments marked as "Pre-Marketing" or "Coming Soon," all information is preliminary and subject to change. These listings are NOT offers to sell and should not be treated as such.

20. No Agency Relationship

Nothing in these terms creates any agency, partnership, joint venture, or brokerage relationship between Listco Properties and any user.
